Terms of Service

DIYRepo provides a multi-tenant, cloud-hosted inventory management platform that allows organizations to track stock, transfers, suppliers, and related operations. We may update, improve, or discontinue features from time to time, and will use reasonable efforts to provide notice of material changes.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your organization. You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.

You agree not to:

• Use the Service to violate any applicable law or regulation;
• Infringe the intellectual property or privacy rights of others;
• Upload malicious code, attempt to probe, scan, or test the vulnerability of the Service, or breach security or authentication measures;
• Resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted;
• Use the Service to send spam or unsolicited communications.

You retain all ownership rights in the data you submit to the Service ("Customer Data"). You grant DIYRepo a limited, worldwide, royalty-free license to host, copy, transmit, and display Customer Data solely as necessary to provide the Service. You are responsible for the legality of Customer Data and for obtaining any necessary consents from end users.

Paid subscriptions are billed in advance on a recurring basis. Fees are non-refundable except where required by law. We may change pricing with at least thirty (30) days' notice prior to the start of a new billing cycle.

Each party agrees to protect the other's confidential information with the same degree of care it uses to protect its own confidential information, and to use it only as needed to perform under these Terms.

DIYRepo and its licensors retain all right, title, and interest in the Service, including all software, design, and documentation. No rights are granted to you other than as expressly set out in these Terms.

We will use commercially reasonable efforts to make the Service available 24/7, excluding scheduled maintenance and events outside our reasonable control. Support is provided via email at support@diyrepo.com.

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

To the maximum extent permitted by law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Each party's total aggregate liability arising out of or relating to these Terms shall not exceed the fees paid or payable by you to DIYRepo in the twelve (12) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless DIYRepo from any claims arising out of your breach of these Terms, your violation of applicable law, or your Customer Data.

Either party may terminate these Terms at any time. Upon termination, your right to use the Service will cease and we may delete your Customer Data after a reasonable retention period. Sections that by their nature should survive termination shall survive.

These Terms are governed by the laws of the jurisdiction in which DIYRepo is established, without regard to its conflict-of-laws principles. The parties agree to the exclusive jurisdiction of the courts located in that jurisdiction, except where mandatory consumer-protection laws apply.

We may update these Terms from time to time. Material changes will be communicated by email or via the Service at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
